1. INTRODUCTION
1.1 These Terms and Conditions govern the relationship between David Saint (Pty) Ltd ("David Saint") and its MiStore™ Owners regarding the earning, accumulation and use of sBucks™ as part of MiStore™ Owner Opportunity.
1.2 These Terms and Conditions form an integral part of the broader MiStore™ Owner Opportunity Terms and Conditions which cover the Compensation Plan, referral program, and related aspects.
1.3 By agreeing to these sBucks™ Terms and Conditions, MiStore™ Owners also acknowledge and agree to the MiStore™ Owner Opportunity Terms and Conditions.
2. INTERPRETATION
In these Terms and Conditions, unless inconsistent with or otherwise indicated by the context:
2.1 "sBucks™" refers to the proprietary, non-transferable digital currency and unit of value issued and managed exclusively by David Saint (Pty) Ltd. sBucks™ is integral to the David Saint ecosystem and is subject to the following specific terms:

Nature and Purpose: sBucks™ is created and designed solely as a digital currency for the exclusive redemption of purchases made on from our David Saint retail partners listed on David Saint Mall. It is intended to facilitate seamless payment of all purchases made on David Saint Mall by MiStore™ Owners and their beneficiaries.

Non-legal Tender Status: sBucks™ does not constitute legal tender, fiat currency, securities, cryptocurrencies, virtual currencies, or any other financial instrument in any jurisdiction. It is not regulated as such by any financial authority. It cannot be used for direct payment outside the David Saint ecosystem (David Saint Mall), nor is it convertible to cash, interchangeable with cash, or redeemable for cash or any other monetary instrument under any circumstances.

Scope and Use: sBucks™ can only be earned, accrued, and redeemed within the David Saint ecosystem as expressly outlined in these Terms and Conditions and the accompanying MiStore™ Owner Opportunity Compensation Plan. It has no inherent monetary value outside of the David Saint platform and cannot be sold, transferred, assigned, gifted, or otherwise exchanged with any third party outside the defined internal mechanisms (if any) permitted by David Saint.

Value and Redemption: The redemption value of one (1) Travel Bucks™ is generally equivalent to 1.00 South African Rand (ZAR) exclusively for the purpose of shopping redemption within the David Saint ecosystem. This redemption value is determined solely by David Saint at its discretion and may be subject to change upon prior notice as per these Terms and Conditions.

Management and Security: All funds corresponding to issued (earned) sBucks™ are held securely in a dedicated Bank Trust Account established for this purpose, as further detailed in Clause 10, ensuring their availability is solely for shopping redemption as per these Terms and Conditions.
2.2 "sBucks™ Account" means the secure digital account where individual MiStore™ Owner sBucks™ is credited and accumulates, and from which it is redeemed towards the purchases made from various retail partners on our online mall.
2.3 "David Saint Mall" means the online mall created and managed by David Saint which houses multiple online retail stores from a various categories with the aim of offering MiStore™ Owners a simpler, safer and faster online shopping experience.
2.4 "sBucks™ Management Committee" means an independent oversight body established by David Saint, which comprises among others MiStore™ Owners representatives, to ensure the transparent, accountable, and secure management of sBucks™ and Bank Trust Account and all related sBucks™ operations, including the integrity of sBucks™ value and the adherence to established fund protection policies.
3. sBUCKS™ ACCOUNT MANAGEMENT
3.1 sBucks™ is credited to the MiStore™ Owner sBucks™ Account each month upon it as per the MiStore™ Owner Opportunity Compensation Plan.
3.2 No sBucks™ will be credited to the sBucks™ Account if the MiStore™ Owner has not purchased the Eazi Grocery Package™ is by the due date.
3.3 sBucks™ Account balances and transactions are accessible monthly through a sBucks™ Statement.
4. DUE DATE AND NON-PAYMENT
4.1 Eazi Grocery Package™ purchase is due each month by the 7th of each calendar month, covering the subscription period from the 8th of the preceding month to the 7th of the current month.
4.2 Failure to make purchases by the due date will result in no sBucks™ being credited to the MiStore™ Owner's sBucks™ Account for that month.
4.3 David Saint reserves the right to suspend or terminate any sBucks™ acquisition if Eazi Grocery Package™ purchases are missed for three (3) consecutive months. Upon such termination, the MiStore™ Owner will cease to accrue new sBucks™ and will no longer participate in the MiStore™ Owner Opportunity.
4.4 Any sBucks™ balance accumulated in the sBucks™ Account prior to such termination shall remain valid and accessible for redemption towards purchases made on our online mall, in accordance with these Terms and Conditions.
5. ACCOUNT TRANSPARENCY AND REPREPORTING
5.1 MiStore™ Owners will receive monthly sBucks™ Statement which details all transactions including balances and credited sBucks™ in the sBucks™ Account.
6. CANCELLATION AND EXPIRY
6.1 Should a MiStore™ Owner Membership be cancelled for any reason, the balance of the sBucks™ remaining in the MiStore™ Owner's sBucks™ Account shall not expire. The remaining sBucks™ may be used by the former MiStore™ Owner at any future time solely to pay for purchases made on David Saint Mall.
6.2 sBucks™ held in the MiStore™ Owner's sBucks™ Account maintain their validity indefinitely, subject to its use for payments on purchases made from our retail partners on David Saint Mall.
6.3 MiStore™ Owners whose MiStore™ Owner Memberships have been terminated may reactivate their MiStore™ Owner status, benefits, including the ability to earn Monthly Income and sBucks™ in accordance with the MiStore™ Owner Opportunity Terms and Conditions.
7. INSUFFICIENT sBUCKS™
7.1 If a MiStore™ Owner's sBucks™ Account balance is insufficient to cover the purchase made, the outstanding difference can be paid in South African Rands via a payment gateway utilised by the said retail partner.
10. SAFEGUARDING TRAVEL BUCKS™ FUNDS
10.1 David Saint is committed to the highest standards of financial security for all sBucks™, held by MiStore™ Owners. To this end, all funds equivalent to the monetary value of outstanding sBucks™ are held in a dedicated, legally separated Bank Trust Account. This Bank Trust Account is maintained entirely separate from David Saint's operational funds, meaning your sBucks™ funds are never mixed with David Saint's operational capital.
10.2 David Saint strictly adheres to the 1:1 backing principle, guaranteeing that all sBucks™ issued to MiStore™ Owners are at all times fully backed by equivalent ZAR funds held in the aforementioned Bank Trust Account.
10.3 Funds in this Bank Trust Account are legally segregated from David Saint's operational funds and cannot be used for David Saint's general business expenses, thereby providing a safeguard against unforseen corporate financial collapse.
10.4 The management and oversight of the sBucks™ Bank Trust Account and related operations are conducted by the sBucks™ Management Committee (SBMC).
10.5 The SBMC comprises among others duly appointed MiStore™ Owner representatives, to ensure transparent and accountable management of sBucks™ value and adherence to robust operational procedures.
10.6 MiStore™ Owners shall have the opportunity to vote for their representatives to serve on the SBMC during The Forum Annual General Meeting (AGM).
10.7 The Forum AGM will also include presentations of key sBucks™ financial reporting to MiStore™ Owners, fostering transparency and accountability regarding the Bank Trust Account's performance and the status of outstanding sBucks™.
10.8 The sBucks™ Bank Trust Account will be subject to annual external audits by an independent auditing firm to verify compliance with David Saint's fund management policies and the sBucks™ Management Policy.
10.9 David Saint commits to making a summary of these audit findings publicly available to MiStore™ Owners during The Forum AGM and on this website, enhancing overall trust and transparency.
10.10 All aspects of Travel Bucks™ management, including the operation of the Bank Trust Account, adhere to the applicable South African laws and regulations, including but not limited to, the Consumer Protection Act (CPA) and the Protection of Personal information Act (POPIA).
11. DORMANCY AND INACTIVE ACCOUNTS
11.1 sBucks™ does not expire and remains valid indefinitely for redemption towards purchases made on David Saint Mall.
11.2 If no activity (no accumulation or redemption of sBucks™) occurs in a MiStore™ Owner's sBucks™ Account for twenty-four (24) consecutive months, David Saint may classify the account as "Dormant".
11.3 Prior written notice will be sent to the MiStore™ Owner's last known email address.
11.4 If no response is received within thirty (30) days, the account may be temporarily suspended until verification is completed by the account holder.
12. DISPUTE RESOLUTION
12.1 Any dispute regarding the sBucks™ program must be submitted in writing by email to David Saint sBucks™ Administrator at sbucks@davidsaint.africa.
12.2 If unresolved, the dispute will be referred to arbitration in accordance with South African law.
13. PROGRAM MODIFICATION AND NOTICE
13.1 David Saint reserves the right to modify, suspend, or terminate the sBucks™ program, including but not limited to sBucks™ value, redemption process, or the structure of sBucks™ offerings.
13.2 Material changes will be communicated to the MiStore™ Owners no less than thirty (30) calendar days prior to implementation via email and/or posting on our official website.
13.3 Where immediate change is required for legal, regulatory, or operational reasons, such changes may take effect immediately, with retrospective notice to affected MiStore™ Owners.
