This appendix covers the Terms and Conditions of an individual's participation in the MiStore™ Owner Opportunity. These Terms and Conditions, together with the Eazi Grocery Package™ Subscription and MiStore™ Owner Registration, sBucks™ Terms and Conditions, and any related policies form the basis of the agreement between David Saint and the MiStore™ Owner regarding the MiStore™ Owner's participation in the MiStore™ Owner Opportunity.
For the purpose of these Terms and Conditions David Saint refers to David Saint (Pty) Ltd, a company duly incorporated in the Republic of South, a legal entity with which the MiStore™ Owner concludes this Agreement.
1. INTERPRETATION
In these Terms and Conditions, unless inconsistent with or otherwise indicated by context.
1.1 "MiStore™ Owner Opportunity" means a business opportunity offered by David Saint through which individuals own their online grocery stores within the David Saint platform as well participate in the sales and referral activities by promoting and selling the Eazi Grocery Package™ and referring others to do the same through which they can earn monthly profit, shopping bucks called sBucks™.
1.2 "MiStore™ Owner" means any individual who participates in the MiStore™ Owner Opportunity and engages in the promotional, referral, and sales activities as an independent sales consultant by referring others to subscribe to purchase the Eazi Grocery Package™ from their MiStore™ and register to also become MiStore™ Owners.
For clarity, references to "Member" shall be construed to mean "MiStore™ Owner". MiStore™ Owners therefore, are divided into two categories, viz:

"Associate MiStore™ Owner" means any individual who is personally introduced and sponsored by another MiStore™ Owner, forming the immediate referral line from whom the introducer MiStore™ Owner may earn Monthly Income, sBucks™ and other benefits.

"Group MiStore™ Owner" means any individual in a MiStore™ Owner's network or downline, extending down to the sixth generation of referrals, from whom the MiStore™ Owner may earn Monthly Income, sBucks™, and other benefits.
1.3 "MiStore™" means an online grocery store, owned by an individual who participates in the MiStore™ Owner Opportunity, selling David Saint groceries through a system called Eazi Grocery Package™.
1.4 "Eazi Grocery Package™" means groceries that participants of the MiStore™ Owner Opportunity purchase from their introducer's MiStore™ through monthly subscriptions.
1.5 "MiStore™ License Fee” means fees payable by MiStore™ Owners on an annual basis at the time of registration and at the anniversary of Membership, in order to participate in the MiStore™ Owner Opportunity.
1.6 "Rental and Operational Support Fee" means fees payable by MiStore™ Owners on a monthly basis towards their MiStore™ rental and business operational support and ongoing administration provided by David Saint.
1.7 “Monthly Income” means income payable to MiStore™ Owners as contemplated in clause 4.3 below; being fees earned on monthly Eazi Grocery Package™ purchases by the MiStore™ Owner's Associate and Group MiStore™ Owners. There are two types of incomes, namely Personal Retail Profit and Group Retail Profit.

"Personal Retail Profit (PRP)" means income earned by MiStore™ Owners on a monthly basis from the monthly Eazi Grocery Package™ purchases made by their Associate MiStore™ Owners.

"Group Retail Profit (GRP)" means income earned by MiStore™ Owners on a monthly basis from the monthly Eazi Grocery Package™ purchases made by their Group MiStore™ Owners down to the sixth generation of referrals.
1.8 “sBucks™ (sB)” means David Saint digital currency which is awarded to MiStore™ Owners as part of the MiStore™ Owner Opportunity Compensation Plan from the monthly Eazi Grocery Package™ sales volume generated by their Associate MiStore™ Owners and Group MiStore™ Owners down to the sixth generation of referrals, which is credited and accumulates in the sBucks™ Account.
1.9 “sBucks™ Account” means the individual MiStore™ Owner's account where sBucks™ is credited and accumulates, and from which it can be redeemed towards purchases made from David Saint's merchant partners listed on David Saint online mall.
1.10 "sBucks™ Terms and Conditions" means the terms and conditions which are applicable and binding on the MiStore™ Owner with regards to the earning, accumulation and use of sBucks™ which may be amended from time to time by David Saint at its sole discretion.
1.11 “Product” means the Eazi Grocery Package™ bought by MiStore™ Owners through monthly subscriptions.
1.11 “Membership” means the participation of the MiStore™ Owner in the MiStore™ Owner Opportunity.
1.12 “Terms and Conditions” means the terms and conditions applicable to David Saint MiStore™ Owner Opportunity set out herein, together with all annexures hereto.
1.13 Any reference to the singular includes the plural and vice versa.
1.14 Any reference to natural persons includes legal persons and vice versa.
1.15 Any reference to a gender includes the other gender and vice versa.
2. MEMBERSHIP TERMS AND CONDITIONS
2.1 A person who is 18 years of age or older, and who has been provided with a MiStore™ Business License shall be deemed to be a MiStore™ Owner as a result of their participation in the MiStore™ Owner Opportunity and the Terms and Conditions set out herein shall be binding upon him.
2.2 A MiStore™ Owner must be a permanent resident of South Africa, in possession of a valid South African ID document or passport and an active bank account, irrespective of being a South African citizen.
2.3 David Saint shall be entitled at any time to amend any of the Terms and Conditions on 30 days written notice to MiStore™ Owners, at any of their chosen email addresses set out in the Eazi Grocery Package™ Purchase and MiStore™ Owner Registration Form, or through any method which David Saint may deem appropriate.
3. RELATIONSHIP BETWEEN THE PARTIES
3.1 The legal relationship between David Saint (Pty) Ltd and the MiStore™ Owner shall be that of an independent contractor. Nothing in this Agreement shall be construed to create employment, partnership, joint venture, or agency relationship between the parties.
3.2 Neither party shall have authority to bind or obligate the other to any third party without prior written consent. Any unauthorized commitments or representations shall be deemed void and the responsible party indemnifies the other for any resulting losses.
3.3 In the event that the MiStore™ Owner misrepresents their relationship with David Saint, the MiStore™ Owner agrees to indemnify David Saint for any losses it may suffer.
4. BUSINESS OPPORTUNITY
4.1 The MiStore™ Owner shall introduce clients who subscribe to purchase the Eazi Grocery Package™, who are also independent sales consultants, by registering to the MiStore™ Owner Opportunity, by showing them the relevant marketing materials and showing them the presentation in accordance with the Terms and Conditions. These clients/sales consultants are referred to as MiStore™ Owners.
4.2 The MiStore™ Owner shall conduct their sales and introduction services in compliance with MiStore™ Owner Opportunity policies and procedures, and shall only utilize marketing materials, presentation, claims, statements, disclosures, representations, or warranties as provided or expressly authorised in writing by David Saint. The MiStore™ Owner shall not make any representations, statements, or claims about MiStore™ Owner Opportunity or Eazi Grocery Package™ that are not contained within MiStore™ Owner Opportunity official materials.
4.3 The MiStore™ Owner is entitled to Monthly Income, calculated based on the purchases of the Eazi Grocery Package™ by their Associate and Group MiStore™ Owners up to the sixth generation of referrals, subject to the MiStore™ Owner's compliance with the Terms and Conditions.
4.4 The entitlement to Monthly Income will commence once the MiStore™ Owner has a minimum of one (1) Associate MiStore™ Owner who has subscribed to the Eazi Grocery Package™ program. The specific categories and levels of Monthly Income and their associated qualifications, including any maximum on directly referred MiStore™ Owners required for certain categories are detailed in the MiStore™ Owner Opportunity Compensation Plan, which is incorporated by reference to these Terms and Conditions.
4.5 Monthly Income shall only be payable on Eazi Grocery Packages™ purchased on a monthly basis as contemplated in clause 4.3 above.
4.6 Monthly Income payments shall be made by electronic funds transfer (EFT) to the bank account nominated by the MiStore™ Owner. Payments will be made on or about the 15th day of each month, subject to the purchase of Eazi Grocery Package™ by the MiStore™ Owner's network up to the sixth generation of referrals and verification of eligibility. David Saint reserves the right to amend the payment date upon 30 days’ prior written notice.
4.7 The MiStore™ Owner shall also be entitled to monthly reward system known as sBucks™, calculated based on the Eazi Grocery Package™ sales volume generated by their Associate MiStore™ Owners and Group MiStore™ down to the sixth generation of referrals.
4.8 sBucks™ shall be credited in the MiStore™ Owner's sBucks™ Account where it accumulates and used solely for paying for their shopping on David Saint's online mall.
4.9 The entitlement to sBucks™ commences once the MiStore™ Owner has a minimum of one (1) Associate MiStore™ Owner who has subscribed to the Eazi Grocer Package™
program.
4.13 The entitlement to earn Monthly Income and sBucks™ is on condition that the MiStore™ Owner has also purchased their Eazi Grocery Package™.
4.14 Should the MiStore™ Owner's Membership be terminated for whatever reason, they consequently forfeit all benefits in respect of their Monthly Income, sBucks™ and/or any other benefit related to active Membership in MiStore™ Owner Opportunity..
4.15 Any balance of the sBucks™ remaining in their sBucks™ Account at the time of termination shall not expire and may be used by the former MiStore™ Owner at any future time to pay for their shopping on David Saint online mall. For clarity, this non-expiry applies solely to the redemption of sBucks™ for purchases made on David Saint online mall, and not to any other benefits or income-earning opportunities associated with active Membership in MiStore™ Owner Opportunity.
5. RESTRICTIONS AND LIMITATIONS
5.1 The MiStore™ Owner shall not induce or solicit other MiStore™ Owners to terminate their Membership or cancel their Eazi Grocery Package™ subscriptions for the purpose of joining any competing business opportunity or product offering. Any breach shall be grounds for immediate termination of Membership and possible legal action.
5.2 The MiStore™ Owner, their beneficiaries, or any other legal entity in which their beneficiaries has any direct or indirect interest, may not be a direct or indirect beneficiary in the MiStore™ Owner Opportunity more than once.
5.3 All media enquiries made to the MiStore™ Owner must be referred directly to David Saint.
6. BONUSES AND REWARDS
6.1 The MiStore™ Owner may qualify for bonuses and rewards paid over and above Monthly Income and sBucks™.
6.2 The bonus and rewards shall be based on the MiStore™ Owner having achieved certain criteria as introduced by David Saint from time to time.
6.3 David Saint reserves the right to introduce or change the bonus structure at its sole discretion.
7. LICENCE FEE
7.1 The MiStore™ Owner shall pay MiStore™ Owner Licence Fee to David Saint in respect of their Membership in the MiStore™ Owner Opportunity as determined by David Saint from time to time.
7.2 MiStore™ Owner Licence Fee is payable at the time of registration and annually on the anniversary of the MiStore™ Owner's Membership.
7.3 MiStore™ Owner Licence Fee may escalate on an annual basis at the sole discretion of David Saint and the MiStore™ Owner shall be informed of such escalation on 30 days prior written notice.
8. ADMINISTRATION AND SUPPORT
8.1 All operations, administration and support in respect of the MiStore™ Owner's business in the MiStore™ Owner Opportunity shall be conducted by David Saint on behalf of the MiStore™ Owner.
8.2 David Saint shall provide MiStore™ Owner with Monthly Income Statement detailing their earnings within the MiStore™ Owner Opportunity, based on the growth and activity of their network.
8.3 David Saint shall also provide MiStore™ Owner with monthly sBucks™ Statement, setting out all transactions and sBucks™ balances in the sBucks™ Account.
8.4 In order for David Saint to perform this important service to the MiStore™ Owners a monthly Operational Support Fee is payable by MiStore™ Owners by the 7th of each month.
8.5 Furthermore, MiStore™ Owners are required to pay a monthly rental fee to ensure uninterrupted operations of their stores.
8.6 Rental and Operational Support Fee is paid by the 7th of the month.
8.7 Rental and Operational Support Fee may escalate on an annual basis at the sole discretion of David Saint and the MiStore™ Owner shall be informed of such escalation on 30 days prior written notice.
9. sBUCKS™ AND FINANCIAL SECURITY
9.1 All funds in respect of sBucks™ are held in a legally segregated Bank Trust Account.
9.2 The Bank Trust Account is subject to oversight by the sBucks™ Management Committee (SBMC).
9.4 The SBMC also includes MiStore™ Owners representatives, to protect MiStore™ Owners' interests and ensure transparency, security, and proper management.
9.5 For comprehensive details regarding the management, protection, and operational procedures related to sBucks™ and Bank Trust Account, including specific safeguards and verification processes, MiStore™ Owners are directed to review the sBucks™ Terms and Conditions available on this website.
9.6 It is the responsibility of the MiStore™ Owner to familiarize themselves with these Terms and Conditions to accurately convey David Saint's commitment to prospective MiStore™ Owners.
10. TAXATION
10.1 It is compulsory for the MiStore™ Owners to register with SARS as a taxpayer in respect of the income earned from David Saint Pty (Ltd) through their participation in the MiStore™ Owners Opportunity.
10.2MiStore™ Owners agree that they shall be solely responsible for any tax liability and for payments to SARS as a result of any income earned.
11. INDEMNITY
11.1 The MiStore™ Owner indemnifies and holds David Saint harmless against all claims, demands, fines, penalties, actions, damages, proceedings, judgments, losses, theft, expenses or any other liabilities caused, whether negligently or otherwise, by the non-observance or non-compliance by the MiStore™ Owner of their duties and obligations in terms of these Terms and Conditions.
12. MiSTORE™ OWNERS DUTIES AND OBLIGATIONS
The MiStore™ Owners agrees to the following:
12.1 That referrals shall be done exclusively to David Saint based on these Terms and Conditions.
12.2 That the use of media advertising in respect of the Eazi Grocery Package™ subscription and MiStore™ Owners Opportunity is strictly prohibited other than through David Saint itself.
12.3 That no misleading, deceptive or unfair selling and recruiting methods will be utilized.
12.4 That no claims, statements, disclosures, representations or warranties of whatsoever nature which are not printed on David Saint materials will be made by the MiStore™ Owners. The materials will be retained in their proper context and form and will not be distorted to be misrepresented or misleading in any manner or form.
12.5 That the MiStore™ Owner will abide by all applicable laws and regulations relating to MiStore™ Owner Opportunity.
12.6 That the MiStore™ Owner will not bring David Saint name into disrepute through their acts of commission or omission.
12.7 That the MiStore™ Owner will purchase their Eazi Grocery Package™ by the 7th of each calendar month, covering the monthly period which runs from the 8th of the preceding month to the 7th of the current month.
12.8 That non-purchase of the Eazi Grocery Package™ will result in no Monthly Income earned and no sBucks™ credited to the sBucks™ Account.
13. BENEFICIARY AND ESTATE INHERITANCE
13.1 Upon the death of the MiStore™ Owner, their MiStore™ Owner status within the MiStore™ Owner Opportunity is automatically terminated.
13.2 In the event that a valid beneficiary has been nominated by the deceased MiStore™ Owner in a form acceptable to David Saint, such nominated beneficiary shall inherit:

Any Monthly Income and bonuses due to the deceased MiStore™ Owner at the time of their death.

Any accumulated sBucks™ in the deceased MiStore™ Owner's sBucks™ Account at the time of their death.
13.3 A nominated beneficiary may, at their sole discretion, within a month of the the death of a deceased MiStore™ Owner, apply to become an active MiStore™ Owner, subject to agreeing to be bound by the then-current MiStore™ Owner Opportunity Terms and Conditions. Whereupon, the nominated beneficiary will assume the deceased MiStore™ Owner's active status within the MiStore™ Owner Opportunity, including any associated future earning rights, from the date of their official acceptance as a MiStore™ Owner.
13.4 Should a nominated beneficiary not wish to become a MiStore™ Owner, or if they do not meet the eligibility criteria to become a MiStore™ Owner, they shall nonetheless be entitled to the inherited sBucks™ balance.
13.5 This inherited sBucks™ balance shall remain valid indefinitely as per the Terms and Conditions.
13.6 Should no beneficiary be nominated by the deceased MiStore™ Owner, their Monthly Income, sBucks™, and bonuses due at the date of their death shall revert to the deceased MiStore™ Owner legal estate for distribution in accordance with the laws.
13.7 The duly appointed executor or administrator of the estate must, within twelve months from the date of confirmation of their legal authority by David Saint, nominate an individual beneficiary of the estate who is willing to utilize the sBucks™ for redemption on David Saint online mall. The nominated beneficiary will be subject to the Terms and Conditions outlined in clauses 13.5 as applicable.
13.8 Should the estate fail to nominate an eligible individual beneficiary who completes the required steps within the specified timeframe, or if no such individual can be identified or accepts the terms for redemption, the accumulated sBucks™ shall be held by David Saint indefinitely, remaining valid but inaccessible until such time as an eligible individual is duly nominated by the estate and processes are completed in accordance with these Terms.
13.9 David Saint shall have no further obligation to actively seek beneficiaries for inherited sBucks™ after the initial notification to the estate.
13.10 MiStore™ Owners are strongly advised to nominate a valid beneficiary for their sBucks™ Account and other entitlements within MiStore™ Owner Opportunity during registration and keep the beneficiary information up-to-date at all times.
13.11 Nominating a beneficiary ensures a smoother and more direct transfer of inherited assets, significantly reducing potential delays, administrative complexities, and legal processes for their loved ones.
14. SALE OF STATUS
14.1 The MiStore™ Owner may, subject to prior written approval by David Saint, dispose of his MiStore™ Owner status to another person. The new MiStore™ Owner will replace the previous MiStore™ Owner for all purposes in the MiStore™ Owner Opportunity.
14.2 The new MiStore™ Owner must agree to be bound by the Terms and Conditions.
14.3 As of the date of the transaction these Terms and Conditions and the Eazi Grocery Package™ Terms and Conditions will be applicable to new MiStore™ Owner.
14.4 David Saint reserves the right to approve or decline the request to replace an existing MiStore™ Owner with a new MiStore™ Owner.
14.5 A written request, in a format prescribed by David Saint is required for the replacement of an existing MiStore™ Owner with a new MiStore™ Owner, including a business plan, where necessary.
14.6 By approving a new MiStore™ Owner David Saint does not comment on the validity of the transaction by the current MiStore™ Owner to dispose of his status in favor of the new MiStore™ Owner.
15. TERMINATION
Without prejudice to any right that David Saint may have in terms hereof or in law, the Membership of the MiStore™ Owner in the MiStore™ Owner Opportunity and benefits payable in respect thereof may be terminated by David Saint with immediate effect, in the event that:
15.1 The MiStore™ Owner is in breach of any provision of these Terms and Conditions or the Eazi Grocery Package™ Terms and Conditions.
15.2 The MiStore™ Owner in the reasonable opinion of David Saint commits any fraudulent act in relation to MiStore™ Owner Opportunity or any act that in the reasonable opinion of David Saint would or could have a detrimental effect on the name and goodwill of David Saint.
15.3 Inaccurate representations as to any potential or future expected Monthly Income, sBucks™, and bonuses to any prospective MiStore™ Owner.
15.4 David Saint becomes aware that the MiStore™ Owner is making false, misleading, or inaccurate representations as to any potential or future expected income and bonuses to any prospective MiStore™ Owner.
15.5 The MiStore™ Owner falsifies any documents or records required by David Saint, including but not limited to the Eazi Grocery Package™ Purchase and MiStore™ Owner Registration Form.
15.6 The MiStore™ Owner uses David Saint logo in any form of advertising or promotion without written consent from David Saint.
15.7 The MiStore™ Owner uses David Saint’s name, trademarks, logos, or promotion of MiStore™ Owner Opportunity or Eazi Grocery Package™ via any media, including social media, without authorisation from David Saint.
16. INTELLECTUAL PROPERTY RIGHTS AND CONFIDENTIALITY
16.1 All intellectual property rights, including trademarks, trade secrets, copyrights, patents, marketing materials, and training documents relating to MiStore™ Owner Opportunity and Eazi Grocery Package™ remain the exclusive property of David Saint (Pty) Ltd. MiStore™ Owners are granted a limited, non-transferable license to use such materials strictly as authorized and for the sole purpose of promoting MiStore™ Owner Opportunity and Eazi Grocery Package™ in accordance with these Terms and Conditions.
16.2 The Travel Companion agrees to maintain strict confidentiality regarding all proprietary and confidential information disclosed during the course of participation, both during and after termination of membership.
16.3 Any unauthorized disclosure or misuse shall constitute grounds for legal action and/or termination.
16.4 Any unauthorized disclosure of trade secrets and/or confidential information may give rise to irreparable claims to accordingly, the MiStore™ Owner undertakes, without limiting their obligations under common law to maintain confidentiality of these secrets.
16.5 Any trade secrets and/or confidential information in their possession or under their control shall be maintained under conditions of strict confidentiality.
16.6 The MiStore™ Owner shall not, directly or indirectly, use for their own benefit or for the benefit of any other person, any trade secrets and/or confidential information.
16.7 The MiStore™ Owner shall not disclose any trade secrets and/or confidential information to any other person without prior written consent of David Saint.
16.8 The MiStore™ Owner shall not use or copy any of the trade secrets and/or confidential information for any purpose other than for performing their duties and obligations or exercising their rights in terms of the Terms and Conditions.
16.9 The provisions of this clause shall survive termination of membership in MiStore™ Owner Opportunity.
17. PROTECTION OF PERSONAL INFORMATION
17.1 By completing the Eazi Grocery Package™ Purchase and MiStore™ Owner Registration Form and any other related platform or document which request any personal information, gives David Saint authority to collect and store MiStore™ Owner's personal information as it is deemed relevant for David Saint to conduct its business.
17.2 David Saint complies with the Protection of Personal Information Act (POPIA) and other applicable privacy laws.
17.3 Personal information collected will be processed lawfully, transparently, and securely, solely for purposes related to the operation and administration of the MiStore™ Owner Opportunity and purchasing of the Eazi Grocery Package™.
17.4 The MiStore™ Owner confirms that David Saint may share their personal information provided by them with the following, who have an obligation to keep the personal information secure and confidential:

Employees of David Saint who are required to be informed of the personal information in order to attend to MiStore™ Owner's association with David Saint.

All third parties who may assist David Saint in supplying the services.
17.4 David Saint undertakes not to disclose MiStore™ Owner's personal information unless it is legally or contractually required to do so.
17.5 David Saint agrees to use all reasonable efforts to ensure that MiStore™ Owner's personal information in its possession is kept confidential, stored in a secure manner and processed in terms of POPIA.
17.6 MiStore™ Owners therefore acknowledge and warrant that:

David Saint is entitled to process and store any personal information in the manner set out in David Saint Privacy Policy, available on this website.

David Saint is entitled and authorised to transfer any personal information to suppliers who assist David Saint to carry out its services.

David Saint is entitled to store and back-up personal information safely and securely.
18. GENERAL
18.1 These Terms and Conditions constitute the whole agreement between David Saint and the MiStore™ Owner as to the subject matter hereof, and no agreements, representations or warranties between David Saint and the MiStore™ Owner regarding the subject matter hereof, other than those set out herein are binding on the parties.
18.2 Either party may terminate the MiStore™ Owner Membership in MiStore™ Owner Opportunity without cause by providing 14 calendar days’ written notice to the other party.
18.3 Following termination, the MiStore™ Owner shall cease to earn Monthly Income, sBucks™, and any other benefits accruing post-termination date.
18.4 On termination the MiStore™ Owner agrees to:

No longer represent themselves as a MiStore™ Owner in terms of MiStore™ Owner Opportunity.

No longer in any way introduce prospective MiStore™ Owners to David Saint.

David Saint servicing the MiStore™ Owners within the MiStore™ Owner's downline.
18.5 In addition and/or alternatively to the remedies available to David Saint in terms of these Terms and Conditions, or by law, David Saint is entitled to claim and recover damages suffered from the , and to the extent that it is not prohibited from doing so by any law, to set off its claim against any amount due to it by the MiStore™ Owner, and the MiStore™ Owner authorises David Saint to do so.
18.6 No addition to or variation, consensual cancellation of the MiStore™ Owner's Membership and no waiver of any right arising from the Terms and Conditions or its breach or termination shall be of any force or effect unless reduced to writing and signed by David Saint or its duly authorized representatives.
18.7 The expiration, cancellation, or termination of the MiStore™ Owner's membership shall not affect those provisions of the Terms and Conditions which expressly provide that they will operate after such expiration, cancellation or termination, or which of necessity must continue to endure after such expiration, cancellation or termination, notwithstanding that the relevant clause may not expressly provide for such continuation.
18.8 Each provision of the Terms and Conditions or the Eazi Grocery Package™ Purchase and MiStore™ Owner Registration and each part of any such provision, is separate and separable from the others.
18.9 If any provision in the Terms and Conditions or any part of such provision is, becomes, or is declared by a court of competent jurisdiction or other competent authority to be unlawful, invalid or unenforceable for any reason, or in any jurisdiction, then it will, to the extent that it is unlawful, invalid or unenforceable, be severed from the Terms and Conditions and treated as if it had not been written, without invalidating or affecting the enforceability of the remainder of such provision or the remainder of the Terms and Conditions.
